DESCRIPTION:Join us for a recap of the previous year\, and a look into the future of the John Trigg Ester Library! \nAdditionally\, we will be discussing the following topics for potential inclusion in updated Bylaws and Articles of Incorporation: \n\nChange to the name of the Organization\n\nReason for change to both Bylaws and Articles of Incorporation \n1) A search for “Ester Library” through Pick\, Click\, Give did not yield any results. If someone did not know the entire name (John Trigg Ester Library)\, they would not be able to donate to us. It is unknown how many other search engines do not recognize just “Ester Library” \n2) The Board felt that many residents in the current village population neither remembers John Trigg and/or recognizes his name \n3) The Board believes the Ester Village Library better represents who we are as well as where we are \nProposed change: Change the name of the Organization from the John Trigg Ester Library to Ester Village Library. These changes will occur in all applicable sections in both the Articles of Incorporation and the Bylaws. A commemorative ceremony and plaque honoring John Trigg will be dedicated at a time in the very near future. \n2.    Changes to the number of directors \nReason for change to the Bylaws \n\nWe have\, on occasion\, had difficulty filling board member positions\nState law allows dropping the number of board members to 3:\n\nAS 10.20.086 – The number of directors of a corporation shall be at least three. The number of directors shall be fixed by the bylaws…\nAS 10.20.121 – Two or more offices may be held by the same person\, except the offices of president and secretary.\n\n\n\n\nThe Board of Directors is proposing a new minimum of 5 board members with the following (2) text changes to the Bylaws:\n\nArticle V\, Section 2. NUMBER OF DIRECTORS. The board of directors may number seven (7): four (4) officers and three (3) additional elected directors. Two or more offices may be held by the same person\, except the offices of president and secretary. The minimum number of directors shall be five (5). \nArticle VI\, Section 1. DESIGNATION OF OFFICERS. The officers of the corporation shall\, at a minimum\, be two: a president and a secretary.  The positions of vice president and treasurer can be combined into the president and secretary positions. \n3.     Change from Robert’s Rules of Order to Modern Rules of Order \n            Reason for change to the Bylaws \n\nThe Modern Rules of Order are not as cumbersome as Robert’s Rules. For example\, if all members present come to a unanimous consensus\, there is no reason for a formal vote (motion to vote\, etc).\nFormal voting will still occur if there is no unanimous consent\nThe Board of Directors is proposing a change to the way Board meetings are conducted with the following (2) text changes to the Bylaws:\n\nArticle IV\, Section 10: Conduct of Meeting. …. Membership meetings will be conducted based on Modern Rules of Order \nArticle V\, Section 13: Conduct of Meeting …. Board of directors meetings will be conducted based on Modern Rules of Order. \n4. Change to number of check signers \n        Reason for change to the Bylaws – We have had single signer checks for several years. This change to the Bylaws officially recognizes this with the following word change: \nArticle VIII\, Section 2: CHECKS AND NOTES. Except as otherwise specifically determined by resolution of the board of directors\, or as otherwise required by law\, checks\, drafts\, promissory notes\, orders for the payment of money\, and other evidence of indebtedness of the corporation shall be signed by one officer of the corporation.

Cost: $350 \nRestricted funds accounting: \nBought beanbags from Kids Read grant \nDedicated funding for accountant- some carry forward \nReworked Community Revenue Sharing accounting for this fiscal year – preparing for year-end report.  Mindy will file closing paperwork at the end of June. \n990 E-Z is filed with IRS and accounting expenses paid. \nNew Quickbooks progress: The process of filing the E-Z form led to some accounting questions and Quickbooks updates.  In some line-item areas\, ST noticed amounts that didn’t match\, these were found to be in other areas.  ST worked to resolve accounts to match records/files\, accountant Virginia Farmier also back-dated depreciation. \nReviewed May monthly finance summary. \nBills/Income/Reimbursements: \nPurchased raspberries (need to set-up rain catch system or plan for hauling water. The more that we plant or develop in the yard\, the more we need to address water) \nBudget status – at 54% of expected budget – (not counting final Behr bill and PH grants/expenditures) \nFinance policy –A draft generic policy was downloaded for review and adaptation.  Discussed some of the good aspects of the policy – was interested in particular in the budgeting process and other suggested standard operating procedures.  We should establish deadlines for the planning process. Suggest having a draft budget developed for the board in August and approved under the new board in November.  Mindy and ST will review the policy and draft an initial JTEL version. \nProposed budget for the Tape & Tarp Ball \nSound – $350 \nBand – $125 \nMarketing – $50 \nAuction supplies – printing\, tickets\, etc. – $30 \nTotal = $555 \nCookbooks and t-shirt sales – we need to order more binders for cookbooks and will discuss t-shirt sales with the board. \nPublicity – Discussed poster with Amanda\, she is going to do this \nMonique will create a Facebook Event: \nCotton Ginny @ the Malemute Saloon\, July 15\, 2017\, 7 p.m. – 11 p.m. \nS.T. developed a donation letter – board members need to get out and hustle donations \nBehr electric – still need a final bill.  Will send a check along with estimate less credit tendered in order to close it out. \nAdditional donor recognition needs to be added to the Friend of the Library page to recognize those who donated to the accounting review fund. \nOther: \nGulliver’s Credit – need to make a plan to purchase books while Gulliver’s is still open. Allen Family Foundation: may not be giving out grants\, judging by recent grants lists; Deirdre will contact via e-mail to see if worthwhile to fill out contact form. Grants to libraries in several states\, but not any libraries in Alaska. \nThe group discussed a Go-NoGo form for rating potential grants; Gary will adapt one he uses and send to the group for editing.
